Terms of Service
This contract is a contractual agreement made between Studio Reem Photography, doing business as (referred to hereafter as “photographer”), and you (referred to hereafter as “Client”). You must agree to the terms and conditions below to book the Session. This agreement contains the entire understanding between the photographer and the client. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing and signed by all parties involved.
1. Headshot Session Includes.
Time allotment as per detailed in your session description
Unlimited wardrobe changes
Image review session directly after photo session or Private online viewing gallery for photo selection
Retouched high-resolution images from the session are available for purchase individually
2. Location Costs & Fees.
If there are any costs/fees associated with the location the client has chosen for their sessions, such as the cost of photography permits or garage fees for parking, you, the client, will be responsible for those fees. The photographer will not guarantee or arrange payment at any location. The session fee does not cover travel costs over 20 miles from Irvine, CA.
3. Late Arrivals.
Any Client arriving late to the session will have the amount of time late deducted from the time allotted. This may also result in a reduction in the number of proofs and edited images. If shooting on location and the client is more than 30 minutes late the session will be canceled, and the entire session fee will be forfeited.
4. Session Fee.
A non-refundable retainer (100% of the session fee) is required for all sessions. In the event of cancellation, the retainer paid is non-refundable. It shall be liquidated for damages to the Photographer in case of a cancellation or breach of contract by the Client. No date is reserved until the full session fee is received. The retainer shall be applied towards the total cost of the service to be rendered.
This fee covers the time and talent of the photographer.
5. Rescheduling & Cancellations.
If an illness or situation prevents a photo session, the client may reschedule their session at least two days before their shoot without penalty. Should the client fail to give two days’ notice or decide to cancel the shoot completely, the retainer is forfeited and will not be refunded. Photographer reserves the right to reschedule due to illness, weather, equipment malfunction, or other circumstances beyond their control.
6. Re-shoots.
Re-shoots are determined at the discretion of the photographer. Re-shoots will not be given for poor choices of clothing, make-up, hair, or weather-related issues or for not following the photographer’s recommendations.
7. Failure to Perform.
If the Photographer cannot perform this Contract due to fire or another casualty, strike, the act of God, or other cause beyond the parties’ control or due to the Photographer’s illness or emergency, the Photographer and Client shall make every attempt to reschedule the session. If a reschedule cannot be agreed upon, Photographer shall return the full session fee, including the retainer, to the client and shall have no further liability. This limitation on liability shall also apply if photographic materials are damaged in processing, lost through camera or media malfunction, lost in the mail, or otherwise lost or damaged without fault on the part of the Photographer. If the Photographer fails to perform for any other reason, the Photographer shall not be liable for any amount over the retail value of the Client’s order.
8. All Sales are Final.
Due to the custom nature of each session, all sales are final. Due to the post-production work involved with retouching images selected from the session, all image file sales are final. Please be sure of your purchase of images at the time of ordering.
9. Archive.
All ordered images are archived six (6) months following the session date. All unordered images are deleted. The photographer is not responsible for loss or damage to the digital files due to circumstances beyond the photographer’s control.
10. Payment.
All payments are due in full unless payment arrangements have been made. Orders for retouched images will not be processed until payment in full is received.
11. Model Release.
The client gives permission to Studio Reem to use the images (or variations of the images) from this session for publication in advertising materials, websites, blogs, portfolios, social media, displays, or other promotional methods for Studio Reem Photography without compensation for such. Studio Reem will not sell these images to any third party without your additional consent. If you would like to opt-out of the model release, please email Reem@studioreem.com your request and verbally inform her during the session.
12. Copyright & Penalty.
Studio Reem retains all copyrights to all images created during the client’s session but shall grant an exclusive license to the client to reproduce and publicly display the purchased images. Royalty-free reprint rights will be provided with the purchased digital files. Royalty-free print release documentation can be provided upon request. The print release does not allow selling or altering your images without the photographer’s permission.
13. Indemnification.
The Photographer shall be held harmless for any and all injury to the Client during the photography session and the immediately surrounding events. A photographer is not responsible for any injuries inflicted upon any participating parties. Client(s) will be responsible for their children and themselves and release the photographer from any claims against their person or business.
14. Miscellany.
This Agreement incorporates the entire understanding of the parties. Any Agreement modifications must be in writing and signed by both parties. Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. The laws of the State of California shall govern this Agreement.
15. Waivers.
The waiver of any breach of this Contract shall not constitute a continuing waiver or a waiver of any subsequent breach of the same or a different provision of this Contract.
16. Attorney’s Fees.
Suppose either party to this Contract brings a legal action against the other party to this Contract to secure the specific performance of this Contract, collect damages for breach of this Contract, or otherwise enforce or interpret this Contract. In that case, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in action in addition to any other relief that may be awarded.
